Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the Cloze application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you ("Merchant," "you") and Cloze ("we," "our," or "us").

2. Description of Service

Cloze is an AI-powered shopping assistant application for Shopify stores. The App provides an embeddable chat widget that uses artificial intelligence to engage with store visitors, recommend products, answer questions, and facilitate customer support interactions.

3. Account & Installation

  • You must have an active Shopify store to use Cloze.
  • You are responsible for maintaining the security of your Shopify account.
  • You must provide accurate and complete information during installation.
  • You are responsible for all activity that occurs under your account.

4. Subscription & Billing

  • Cloze offers Free, Pro ($29/month), and Business ($79/month) plans.
  • Paid subscriptions are billed monthly through Shopify's billing system.
  • You may upgrade, downgrade, or cancel your plan at any time.
  • Refunds are handled in accordance with Shopify's billing policies.
  • We reserve the right to modify pricing with 30 days' notice.
  • The Free plan is limited to 50 conversations per calendar month.

5. Acceptable Use

You agree not to use Cloze to:

  • Violate any applicable law or regulation
  • Distribute misleading, fraudulent, or deceptive content via the AI chatbot
  • Attempt to reverse-engineer, decompile, or extract the AI models
  • Use the service to harm, harass, or deceive customers
  • Circumvent usage limits or billing mechanisms
  • Transmit malicious code or interfere with the service's operation

6. AI-Generated Content

  • Cloze uses AI to generate responses to customer inquiries. While we strive for accuracy, AI responses may occasionally be incorrect or incomplete.
  • You are ultimately responsible for the information presented to your customers through the chatbot.
  • We recommend reviewing AI responses and configuring safety controls (inventory visibility, price display, etc.) to protect sensitive information.
  • We are not liable for any business decisions made by customers based on AI-generated responses.

7. Intellectual Property

  • Cloze and its technology are owned by us and protected by intellectual property laws.
  • You retain ownership of your store data, product information, and custom knowledge base content.
  • You grant us a limited license to use your data solely for providing and improving the service.

8. Data & Privacy

Your use of Cloze is also governed by our Privacy Policy, which describes how we collect, use, and protect your data and your customers' data.

9. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted service.
  • We may perform maintenance that temporarily affects availability.
  • We are not responsible for downtime caused by Shopify, third-party AI providers, or events beyond our control.

10. Limitation of Liability

To the fullest extent permitted by law, Cloze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or data, arising from your use of the App. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

  • You may terminate your use of the App at any time by uninstalling it from your Shopify store.
  • We may suspend or terminate your access if you violate these Terms.
  • Upon termination, your data will be deleted within 30 days.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the App. Your continued use after modifications constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cloze operates, without regard to conflict of law provisions.
